The FOA's Documentation Library contains documents of two types:

  1. Standardised terms for clients: these may be used by firms to create terms of business with clients. These documents can be downloaded in Word format.
  2. Annotated versions of documentation: these have a comprehensive set of end-notes attached that provide guidance on individual terms within the documentation. These are available in PDF format.

The documentation is intended to provide a suite of terms of business for use with clients in a wide range of investment services and market activities, in a manner which is fully compliant with the Financial Services and Markets Act 2000 and the FSA's Handbook of Rules and Guidance. The terms are not designed to provide a fully comprehensive framework for documenting every type of transaction. They do, however, include:

  • terms required by relevant regulatory and exchange rules (where applicable)
  • market standard commercial terms of business
  • common terms appropriate in relation to a broad range of services and products, such as terms relating to settlement of transactions
  • terms applicable to multiple client types and multiple jurisdictions (where applicable)

The documentation in the Libraries is standardised - i.e. it is designed to be used by firms without significant changes. Changes to the documentation (so that it can be adapted to the needs of a particular client, for example) can be made but should be highlighted in a separate schedule.
